Terms of Service & Export Agreement

1. Scope & Contract Hierarchy
This website is maintained by PT. Rejo Farm Integrated Farming (operating globally as IndoAgro Trade). Information, specifications, and indicative price schedules published online constitute an invitation to treat rather than a binding legal offer. All international agricultural commodity sales are governed strictly by individually executed Sales Contracts and Proforma Invoices signed by authorized company officers.
2. Incoterms 2020 & Risk Allocation
Unless explicitly stipulated otherwise in the Sales Contract, delivery obligations and transfer of risk adhere to ICC Incoterms 2020 rules:
- FOB (Free On Board): Risk passes to the buyer once goods pass the vessel's rail or are safely loaded on board at the named Indonesian port (e.g., Tanjung Priok or Tanjung Perak). Buyer arranges and pays ocean freight and marine cargo insurance.
- CIF (Cost, Insurance, and Freight): Seller procures ocean carriage and marine cargo insurance (Institute Cargo Clauses C or A as contracted) to the named discharge port. Risk transfers to buyer upon vessel loading in Indonesia.
3. Quality Verification & Third-Party Inspection
Quality specifications (moisture percentage, purity, grade, free fatty acids) are certified at the port of origin prior to departure by accredited independent testing laboratories (COA). Buyers retain the right to appoint international surveyors (SGS, Sucofindo, or Bureau Veritas) at buyer's cost to supervise container stuffing and seal placement. Certificates issued at origin constitute final evidence of conformity upon loading.
4. Payment Protocols
All financial settlements are transacted in United States Dollars (USD) via Telegraphic Transfer (T/T). Standard commercial terms require a 30% advance deposit upon contract execution to reserve harvest volume and commence production, with the remaining 70% balance due upon issuance of draft Ocean Bill of Lading copies or before original document surrender / Telex release.
5. Quality Claims & Dispute Protocol
Any claim regarding non-conformity or quantity shortage must be lodged in writing with photographic and surveyor evidence within fourteen (14) calendar days of container discharge at the named port of destination. Failure to notify within this timeframe constitutes unconditional acceptance of the consignment.
6. Force Majeure
Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, typhoons, agricultural crop failures due to extreme climatic anomalies, maritime blockades, war, riots, strikes, or sovereign trade embargoes.
7. Governing Law & Jurisdiction
Export agreements executed by PT. Rejo Farm Integrated Farming are governed by and construed under the laws of the Republic of Indonesia. Counterparties agree to resolve any contractual disputes amicably; failing which, matters shall be submitted to binding international arbitration under the rules of the Singapore International Arbitration Centre (SIAC) or the Indonesian National Board of Arbitration (BANI).
